ALCHEMIZE SOFTWARE LIMITED LICENSE AND SUPPORT AGREEMENT
This Agreement is between Maxis Inc., a Missouri corporation (“Maxis”), and the customer using Alchemize software, effective upon installation of the software and valid for a 7-day trial period. The Alchemize software, including updates, documentation, and license keys provided to the customer, is licensed, not sold.
This Agreement covers the licensing of the software and support provided under an order.
Subject to this Agreement’s terms, Maxis grants the customer a temporary, non-exclusive, non-transferable license for use of the software up to the license capacity purchased. The license includes:

The software, including workflows, user interface, designs, and other technology, is the proprietary property of Maxis and its licensors. Confidentiality applies to all shared information, including software terms, prices, technical specifications, and any proprietary processes.
Maxis warrants that the software will perform according to its documentation for 90 days from the date of order, covering issues reported within that time. For warranty claims, Maxis will either resolve the issue, replace the software, or refund the license fee. Maxis disclaims other warranties, including fitness for a particular purpose.
The agreement terminates automatically after the 7-day trial period, requiring the customer to stop using, de-install, and delete or return the software and all copies within 5 days post-termination.
Support services are included and subject to policies in effect during the support term, which may change, provided no material degradation occurs.
The agreement includes provisions on governing law (Missouri), non-assignment, audit rights, compliance with export laws, and no additional terms from purchase orders.
